General Terms of Subscription Service
These are the General Terms of Subscription Service of Five Reasons (fivereasons.eu) (“General Terms”).
Trust is the basis of every good partnership. Trust comes from honesty and openness. That is why we have summarized here all the important information and conditions that apply to orders in our online shop. Please read the following General Terms carefully before placing an order.
By placing an order via this website you declare these General Terms binding on you, and as a result we have entered into an Agreement with you.
- 1 Provider And Scope
These General Terms apply to all orders placed in the online shop fivereasons.eu operated by Fivereasons SIA, reg.No. 40203353946, Malu 30, Riga, Latvia, LV-1058; e-mail: support@fivereasons.eu. (“FiveReasons”, “we”).
The range of goods in our online shop is only aimed at consumers over the age of 18.
The contract language is English. The law of the Republic of Latvia applies exclusively.
You can always access and print out the currently valid General Terms on our website fivereasons.eu/de.
- 2 Conclusion of Contract
The range of goods presented on our website does not yet represent a binding application on our part to conclude a purchase contract, but merely an offer to order goods in the online shop.
With the click of the button "Pay now" at the end of an ordering process you submit your binding offer to purchase the selected goods on a recurring basis (“Subscription”). On the following page you will see the order confirmation for your monthly Subscription of goods, which represents the concluded Agreement. The order confirmation will be sent to your email as well.
All information that you provide to us during the ordering process must be up to date, correct and truthful. For any misuse of information, e.g. illegal orders and the resulting claims, you shall bear responsibility in accordance with applicable legal provisions.
The Agreement is only concluded when we declare an express acceptance of your Subscription.
The order data is saved by us.
- 3 Subscriptions, Changes, and Cancellation
When you have placed an order for monthly delivery of our products, the Agreement is in force indefinitely until you cancel your Subscription (see below in this section).
Changes to your Subscription
As a subscribed customer, you have the ability to customize the flavours of your smoothies each month. You may also change the previously selected monthly shipment amount to one of our other packages offered (FiveReasons offers packages of 13, 30 or 60 smoothies per month). You can make any such changes by contacting FiveReasons customer support via support@fivereasons.eu, or by making the said changes on your profile at fivereasons.eu under section “subscription”.
Each month before sending out your shipment and charging you, we will send you a 5 days prior notice about your upcoming order to your e-mail address. This gives you a chance to change your order, snooze or cancel Subscription.
Please note that any changes to your Subscription must be made no later than within 5 days after this e-mail notice. Any changes made after this deadline will only apply starting on the next Subscription period, i.e. next month, and the current order will be shipped out as ordered before.
Snoozing your Subscription
Additionally, if you decide that you have enough product and don’t need a new package yet, you can snooze your Subscription for a while so that you are fully flexible on the delivery dates. You can snooze your subscription by contacting FiveReasons customer support via support@fivereasons.eu, or by making the said changes on your profile at fivereasons.eu under section “subscription”.
Cancelling your Subscription
You have the right to cancel your Subscription at any time without giving any reason.
If you decide to cancel your Subscription, you can submit a cancellation notice to FiveReasons in written form (e.g. by email, letter or similar), using the following contact details:

We must receive the notice of termination. You may be required to provide evidence of properly submitting of the notice of termination.
Another option to cancel your Subscription is on FiveReasons customer portal, by following these steps:
- Visit our customer portal at https://fivereasons.eu/pages/customer-portal
- Log in to your account using your username and password (if you have not yet created an account, please do so using the same e-mail address that you entered when you made your first order).
- Once you are logged in, click on the “Subscription settings” tab in the menu bar.
- If you are sure that you would like to cancel, then click on the “Cancel subscription” button. By clicking the “Cancel Subscription” button you confirm the cancellation and thus the termination of this Agreement.
Please note that canceling your Subscription will take place with immediate effect. However, if you have a shipment due for shipping within the next 48 hours this order will not be cancelled and still be shipped. The same applies to any outstanding payments and other obligations that might have to be settled after the cancellation of your Subscription.

- 4 Prices, Shipping Costs
The prices stated on the website at the time of the order apply. These prices include the statutory value-added tax at the applicable rate.
You will not be charged for shipping costs.
- 5 Payment, Default, Consequences Of Default
When placing an order you can choose between the following payment methods – PayPal account or payment card.
By providing a certain payment method accepted by FiveReasons, you represent and warrant that you are authorized to use the said payment method and that you authorize us (or our third party payment processors) to charge your payment method for the amount of your Subscription.
If the payment method cannot be verified, is invalid or is otherwise not acceptable, your order may be suspended or cancelled.
Recurring Payment
After you order your monthly package of our products, the payment card / PayPal account you provide under the payment section will be charged the amount specified on the website for the monthly package of your choice you subscribe for. The same payment card / PayPal account will be automatically billed every thirty (30) days thereafter for the same monthly amount.
You can always change, snooze or cancel your subscription by following the procedure described in “§ 3 Subscriptions, Changes, and Cancellation” of these General Terms.
You acknowledge that the amount charged may vary due to promotional offers, changes to your Subscription or changes in applicable taxes or other charges, and you authorize us (or our third party payment processor) to charge your payment method for the corresponding amount.
You are required to provide current, complete, and accurate information for your billing method. You are responsible for promptly updating all information to keep your billing account current, complete, and accurate (e.g., change in billing address, credit card number, or credit card expiration date). You must notify us immediately if your credit card information is deleted or invalid. Changes to this information can be made by reaching out to our customer support email support@fivereasons.eu.
- 6 Offsetting
You can only offset a counterclaim if this counterclaim is undisputed or has been legally established.
- 7 Delivery, Retention Of Title
We deliver to the address that you specified on the online order page. The goods remain our property until the purchase price has been paid in full.
- 8 Consumers’ Right of Withdrawal
If you are a private individual and your Subscription is made for a purpose that is predominantly neither commercial nor otherwise professional (including self-employment purposes), you are treated as a consumer and, therefore, have certain statutory rights to withdraw from the Agreement.
Withdrawal Period
You have the right to withdraw from this Agreement within 14 days without giving any reason for it.
Since this Agreement is for a Subscription of goods, meaning a regular delivery of goods during a defined period of time, the 14 day withdrawal period is calculated starting from the day on which you or a third party indicated by you took possession of the first recurring order of goods (first smoothie package).
Please note that after the expiry of this period, you will not be able to use your rights of withdrawal. However, you can still always change snooze or cancel your Subscription by following the procedure described in “§ 3 Subscriptions, Changes, and Cancellation” of these General Terms.
Exercise of Withdrawal Rights
In order to exercise your right of withdrawal, you must inform FiveReasons:
- via mail to: Fivereasons SIA, Malu 30, Riga, Latvia, LV-1058; or
- via e-mail: support@fivereasons.eu,
by means of a clear statement (e.g. a letter sent by post, fax or e-mail) of your decision to withdraw from this Agreement.
You can choose to use our sample withdrawal form, which you can download at the end of these General Terms.
To meet the withdrawal deadline, it is sufficient for you to send out the communication regarding your exercise of the right of withdrawal before the cancellation period has expired.
Conditions
Considering that our products are meant for consumption, you do not have any right of withdrawal in case if you have opened the sealed package of goods and, therefore, it cannot be returned due to health protection and hygiene reasons.
Therefore, if you wish to use your right of withdrawal, please do not open the box, avoid any damage to the seal, and return the package back in the same condition as received.
Consequences of Withdrawal
If you withdraw from this Agreement, and all the conditions for the use of such rights have been met, we will refund you all payments that we have received from you, as soon as possible and at the latest within 14 days from the day on which we received the withdrawal notice.
For repayment, we will use the same means of payment method that you used when placing an order, unless we expressly have agreed with you on any other payment method. You will not be charged any fees for this repayment.
Please note that you have an obligation to return the goods to us immediately and in any case no later than within 14 days from the day on which you inform us on withdrawing from the Agreement. The deadline is met if you send back the goods before the period of fourteen days has expired.
Please inform us before returning the goods to announce the return and to enable us a smooth assignment. The fulfillment of this request is irrelevant for the effectiveness of the exercised revocation.
Note that we can refuse the repayment until we have received the goods back or until you have provided us with proof of sending back the goods, whichever is earlier.
You will bear the direct costs of returning the goods.
You are only liable for any diminished value of the goods resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the goods.
- 9 Damage in Transit
If you receive the goods damaged, please complain to the delivery service representative immediately and inform us immediately about the damage.
If you do not complain immediately and do not inform us immediately, this has no effect on the warranty rights to which you are entitled.
- 10 Liability
FiveReasons shall only be liable in the case of intent and gross negligence, in accordance with the applicable laws on responsibility for defects in goods and services.
In the case of slight negligence, FiveReasons is only liable in the event of a breach of an essential contractual obligation. An essential contractual obligation is an obligation which must be complied with for the execution of the Agreement and which you can trust to be complied with.
Liability is limited to the amount of damage typically foreseeable at the time the Agreement was concluded. This limitation of liability applies to the liability of our representative agents. The limitation of liability does not apply to damage resulting from injury to life, limb or health of persons.
- 11 Miscellaneous
Should one or more provisions of these General Terms be or become ineffective, the validity of the remaining provisions of General Terms shall not be affected.
We reserve the right to change these General Terms. We will inform you in advance of any intended changes and all such modifications will become effective immediately after posting them on the website.
You shall be responsible for reviewing and becoming familiar with all such modifications, and you agree to review the General Terms each time you are informed about updates.
The changes are considered accepted if you do not object within one (1) month after the change notification. If you object to the change, you reserve the right to cancel the Subscription free of charge if following procedure prescribed by these General Terms.
